and Conditions
By
participating in the
CollectionIndustryNews.com pay per
click advertising program, you are
entering into a binding and
enforceable legal agreement with
CollectionIndustryNews.com. You,
the Client, represent and warrant
that you are authorized to enter
into this agreement. Please review
these Terms and Conditions
carefully.
As used in this agreement,
the terms "Client" and
"You" mean you and the
company or entity which you
represent. As used in this
agreement, the terms
"Publisher" or
"We" mean
CollectionIndustryNews.com.
PAYMENT
& TERM:

To Indicate The Term of Agreement:
(minimum term is 4 months)

Client agrees to pay Publisher
based on the number of unique
click-throughs multiplied by 25
cents per click-through on the
first day of each month for the
previous month's unique click-throughs.
Client agrees to pay all charges
to its account in accordance with
Publisher's terms which shall be
in effect upon execution of this
agreement. Client acknowledges
that its payment obligation
hereunder is based solely on
unique click-throughs and not on
Client's ability to convert click-throughs
to sales. All payments made to
Publisher shall be processed only
by credit card on file on the
first day of each month. The
Client agrees that Publisher may
charge the credit card upon the
issuance of each tracking report
reflecting click-throughs on a
monthly basis. In the event that
Publisher is unable to charge
Client's credit card, Publisher
may, in its sole discretion,
suspend or terminate the Client's
participation in the pay per click
program. Client understands and
acknowledges that all credit card
charges will reflect on the
Client's credit card statement as
Columbia Financial International,
Inc.
BANNER
ADVERTISING SIZES: Publisher
offers a wide variety of pay per
click banner ad sizes for the
Client. Suitable banner ad sizes
in pixels: 90x120, 125x125.
234X90, 225X225 and 468x69 or
468X80. Ads may be static,
animated or flash. Publisher
reserves the right to place banner
ad sizes on pages as it sees fit
in line with website theme and
space available and may put
additional Client banners ads on
any page of the website and other
high traffic websites within its
ownership. Client may wish to
provide his/her Client ads
otherwise Publisher will charge
$100 to design a single ad for
Client if the Client so chooses.
Multiple ads to be designed by
Publisher may receive a discount
in design costs.
CAP
RATE FOR CLICK-THROUGHS: As part
of this agreement, the Client has
the opportunity to cap the amount
of money that can be charged to
the Client's credit card or spent
for unique click-throughs received
on a monthly basis. The minimum
cap rate is $300.00 per month. You
may be charged less than the
minimum cap rate if your banner
traffic charge equals less than
$300 (e.g. 25₵
per click x 400 clicks = $100 this
would be the charge for the
month).
However you cannot be
charged more than the minimum cap
rate in any given month unless you
indicate that you wish to raise
the cap rate higher.
If you wish to target a cap
rate in an amount higher than
$300.00 per month, please indicate
here what your spending limit is
per month: $______________.
REPRESENTATIONS
AND WARRANTIES TO
COLLECTIONINDUSTRYNEWS.COM: You,
the Client, represent that you are
the authorized owner of the
website or legal representative of
the Client's website for which
links are requested and that such
site is not involved in any
illegal activity, hate activity
(whether racial or otherwise), and
does not contain any libelous
matter whatsoever. You will not
hold CollectionIndustryNews.com,
nor the owners and operators of
CollectionIndustryNews.com liable
or responsible for the activities
of visitors who come to your site
through a link provided from
CollectionIndustryNews.com. You
further represent and warrant that
your site is not unsuitable for
the CollectionIndustryNews.com pay
per click advertising program.
Such sites which include sexually
explicit material, violence,
discrimination based on race, sex,
religion, nationality, disability,
sexual orientation, or age;
promote illegal activities; and
violate or infringe upon the
rights of any third party,
including intellectual property
rights are considered to be
unsuitable.
INDEMNIFICATION
AND HOLD HARMLESS: Client agrees
to indemnify and hold Publisher
and the owners and operators of
CollectionIndustryNews.com
harmless from and against any
losses, costs, damages or expense
(including reasonable attorneys'
fees) resulting from claims or
actions arising out of or in
connection with Client's website
content or Client's breach of any
agreement, representation or
warranty hereunder, including,
without limitation, claims for
infringement of copyright or other
intellectual property rights and
violation of rights of privacy and
publicity.
LIMITATION
OF LIABILITY AND WARRANTY
DISCLAIMER: PUBLISHER AND THE
OWNERS AND OPERATORS OF
COLLECTIONINDUSTRYNEWS.COM MAKE NO
WARRANTY OF ANY KIND, WHETHER
EXPRESSED OR IMPLIED, INCLUDING
ANY IMPLIED WARRANTY OF
MERCHANTABILITY OR FITNESS OF THE
SERVICE FOR A PARTICULAR PURPOSE
INCLUDING, WITHOUT LIMITATION, THE
NUMBER OF CLICK-THROUGHS WHICH
WILL BE DELIVERED. PUBLISHER SHALL
NOT BE LIABLE FOR THE CONTENTS OF
ANY WEB SITES OR PAGES, NOR FOR
ANY LOSS, COSTS, DAMAGE OF EXPENSE
(INCLUDING REASONABLE ATTORNEY'S
FEES) INCURRED BY CLIENT
INCLUDING, WITHOUT LIMITATION, FOR
ANY TECHNICAL MALFUNCTION,
COMPUTER ERROR OR LOSS OF DATA OR
OTHER INJURY DAMAGE OR DISRUPTION
TO CLIENT. IN NO EVENT SHALL
PUBLISHER AND THE OWNERS AND
OPERATORS OF
COLLECTIONINDUSTRYNEWS.COM
LIABILITY EVER EXCEED THE TOTAL
AMOUNT PAID TO PUBLISHER BY CLIENT
HEREUNDER. IN NO EVENT SHALL
PUBLISHER BE LIABLE FOR ANY
INDIRECT, INCIDENTAL,
CONSEQUENTIAL, SPECIAL OR
EXEMPLARY DAMAGES ARISING OUT OF
OR RELATED TO THIS AGREEMENT EVEN
IF SUCH DAMAGES ARE FORESEEABLE
AND WHETHER OR NOT PUBLISHER AND
THE OWNERS AND OPERATORS OF
COLLECTIONINDUSTRYNEWS.COM HAVE
BEEN ADVISED OF THE POSSIBILITY
THEREOF. PUBLISHER AND THE OWNERS
AND OPERATORS OF
COLLECTIONINDUSTRYNEWS.COM WILL
NOT BE LIABLE FOR, OR CONSIDERED
TO BE IN BREACH OF OR IN DEFAULT,
ON ACCOUNT OF ANY DELAY OR FAILURE
TO PERFORM AS ANTICIPATED BY THE
PARTIES, OR IF ITS SITE BECOMES
INOPERABLE OR INCAPABLE OF
PERFORMING AS INTENDED. PUBLISHER
AND THE OWNERS AND OPERATORS OF
COLLECTIONINDUSTRYNEWS.COM MAKE NO
REPRESENTATIONS THAT THE OPERATION
OF ITS SITE WILL BE UNINTERRUPTED
OR ERROR-FREE, AND WILL NOT BE
LIABLE FOR THE CONSEQUENCES OF ANY
INTERRUPTIONS OR ERRORS OR
OMISSIONS.
COLLECTIONINDUSTRYNEWS.COM'S
RIGHT TO REJECT: All requested URL
links, company descriptions and
subsequent architecture or design
of landing pages are subject to
Publisher and the owners and
operators of
CollectionIndustryNews.com
approval. Publisher and the owners
and operators of
CollectionIndustryNews.com reserve
the right to reject, cancel or
remove any URL link, company
descriptions and landing pages at
any time for any reason
whatsoever.
TERMINATION
OF THIS AGREEMENT: You, the
client, may cancel your
CollectionIndustryNews.com pay per
click advertising program by
providing written notice to
Publisher and the owners and
operators of
CollectionIndustryNews.com within
10 days of your pay per click
agreement's ending term.
We may cancel your
participation in the pay per click
program at any time for any reason
we deem appropriate..
MISCELLANEOUS:
This agreement shall be governed
by and construed in accordance
with the substantive laws of the
State of
Florida
and jurisdiction and venue of all
matters relating to this agreement
shall be vested exclusively in the
Southern District of Florida,
County
of
Palm Beach
, and you agree to the
jurisdiction of such Courts. No
waiver, modification or addition
to this agreement shall be valid.
This agreement constitutes the
entire agreement between the
parties relating to the
participation in the
CollectionIndustryNews.com pay per
click advertising program. This
agreement supersedes all prior
and/contemporaneous agreements and
Client has relied upon no
representations, oral or
otherwise, not contained within
this agreement. Publisher, the
owners and operators of
CollectionIndustryNews.com reserve
the right to change the terms upon
which it offers its pay per click
advertising program to the public
and may change this agreement by
posting such changes. Client's
continued participation in the pay
per click advertising program
following such changes shall be
deemed a consent to such changes.
